These Terms of Service ("Terms") govern your access to and use of Lazysoft's website, products, and services (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

By using our Services, you confirm that:
- You are at least 18 years old or have parental/guardian consent
- You have the legal capacity to enter into this agreement
- You will comply with all applicable laws and regulations

2. DESCRIPTION OF SERVICES

Lazysoft provides:
- Custom AI development services (RAG systems, AI CRM, automation)
- AI Lead Scraper software for B2B lead generation
- Related software tools and services

2.1 AI Lead Scraper Specific Terms
AI Lead Scraper is provided for business-to-business (B2B) lead generation only. You agree to:
- Use the software only for legitimate business purposes
- Not scrape personal consumer data
- Comply with GDPR, CAN-SPAM, and applicable data protection laws
- Not use the software for spam or illegal activities
- Be responsible for all data collected using the software

3. LICENSE AND RESTRICTIONS

3.1 License Grant
We grant you a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes.

3.2 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble our software
- Rent, lease, loan, resell, or distribute our Services
- Remove or modify any proprietary notices
- Use our Services for illegal purposes
- Attempt to gain unauthorized access to our systems
- Use our Services to violate third-party rights

4. USER ACCOUNTS

4.1 Account Creation
You may need to create an account to access certain Services. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities under your account
- Notifying us immediately of unauthorized access

4.2 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms.

5. PAYMENT TERMS

5.1 Pricing
Prices for Services are displayed on our website and may change without notice. Current prices apply at the time of purchase.

5.2 Payment
Payment is due immediately unless otherwise agreed. We accept payments through authorized payment processors.

5.3 Refunds
Custom development services: No refunds after work has commenced
AI Lead Scraper credits: No refunds for purchased credits
Defective software: We will provide fixes or replacements for defective products

5.4 Taxes
Prices do not include applicable taxes. You are responsible for all taxes, duties, and fees.

6. INTELLECTUAL PROPERTY

6.1 Our Property
All Services, including software, code, designs, and content, are owned by Lazysoft and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Data
You retain all rights to data you create or upload. For AI Lead Scraper, you own all data you scrape.

6.3 Custom Development
For custom development projects, intellectual property ownership will be specified in separate project agreements.

7. DATA RESPONSIBILITY

7.1 Your Obligations
When using AI Lead Scraper or our Services, you are responsible for:
- Ensuring compliance with data protection laws
- Obtaining necessary consents for data collection
- Implementing appropriate security measures
- Providing privacy notices to data subjects
- Honoring opt-out requests

7.2 Our Role
We are a technology provider, not a data controller for data you collect using our tools. You are solely responsible for how you use collected data.

8. WARRANTIES AND DISCLAIMERS

8.1 Limited Warranty
We warrant that our Services will perform substantially as described. This warranty is valid for 30 days from purchase for software products.

8.2 Disclaimer
EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:
- Services will be uninterrupted or error-free
- Defects will be corrected
- Services are free from harmful components
- Results will meet your requirements

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
- WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES

10. INDEMNIFICATION

You agree to indemnify and hold harmless Lazysoft from claims, damages, and expenses (including legal fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of third-party rights
- Your data collection or processing activities

11. THIRD-PARTY SERVICES

Our Services may integrate with or link to third-party services. We are not responsible for third-party services, their content, or their practices.

12. MODIFICATIONS TO SERVICES

We reserve the right to modify or discontinue Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

13. MODIFICATIONS TO TERMS

We may update these Terms from time to time. Continued use of Services after changes constitutes acceptance of modified Terms.

14. TERMINATION

Either party may terminate this agreement at any time. Upon termination:
- Your license to use Services ends immediately
- You must cease all use of our software
- Sections that by nature should survive will survive termination

15. GOVERNING LAW

These Terms are governed by the laws of Poland, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Poland.

16. DISPUTE RESOLUTION

Before filing any legal action, you agree to first contact us to attempt to resolve the dispute informally.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any separate agreements, constitute the entire agreement between you and Lazysoft.

18. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

19. NO WAIVER

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
